Terms of use

This English text is a translation provided for convenience. The French version is the contractual one: where the two differ, the French version prevails.

The service

Keeply lets a business run a loyalty programme using Apple Wallet and Google Wallet cards: customer sign-up, counting visits, rewards, campaigns and coupons.

Subscription

One subscription per business, taken out in the app and paid through your Apple account (in-app purchase). Two plans: monthly, charged every month, or yearly, charged once a year. Prices are those shown by the App Store in your country, taxes included.

14-day free trial for a first subscription: it starts when you subscribe. Your Apple account needs a payment method, but nothing is charged during the trial.

Automatic renewal. At the end of the trial, then at the end of each period, the subscription renews and Apple charges the plan's price, unless you cancel at least 24 hours before the end of the trial or of the current period. Cancel at any time in your Apple account settings (Settings › your name › Subscriptions); the service stays available until the end of the period already paid for. Refunds are handled by Apple.

What happens afterwards is described under Termination, below.

The cards we issue for you

You appoint us to issue your cards. By using Keeply, you authorise us to create, sign and update the Apple Wallet and Google Wallet cards of your loyalty programme, carrying your business's name, logo and colours, and to distribute them to your customers on your behalf.

In practice: the cards are issued and administered by Keeply, using its certificates. That is what saves you opening an Apple developer account, managing certificates and renewing them every year. The back of every card says so, and your customers see your business everywhere else — it is your card, not ours.

Protection against abuse

To protect your offers, Keeply asks every customer to confirm their email within 7 days (otherwise their card is paused, without losing their stamps), refuses disposable addresses, allows one card per address per business, and cancels the welcome offer of a new card created on an iPhone that already held one of yours.

What you warrant to us

That you hold the rights to the name, logo and images you use in Keeply, or that you have permission from those who do. This is a warranty we have to obtain from you: we put your brand on cards that we sign, and we must be able to state that we were entitled to.

If you use a brand that is not yours without permission, the responsibility is yours, and we will withdraw the cards concerned. You indemnify us against any third-party claim relating to those elements, including the costs we would incur in answering it.

What you grant us, and within what limits

To issue your cards, we need to be able to use your name, your logo and your images. You therefore grant us that right — and nothing more: a non-exclusive permission, limited to the duration of your subscription, for the sole purpose of creating, signing, distributing and updating your cards, which you can withdraw by cancelling.

These elements remain yours. We never become their owner, and the fact that your cards are technically signed by Keeply changes nothing about that.

What remains Keeply's

Conversely, the infrastructure that makes those cards work remains ours: our signing certificates, our keys, our Apple and Google issuer identifiers, our card templates and our software.

This is not a formality. It is what lets us keep your cards — and every other business's cards — secure: a signing key in circulation would put all of them at risk. If you cancel, you get your data back — your customers, their visits, your programme — but not those technical elements, which exist only inside our service.

What we undertake to do

What we cannot promise

Apple and Google may, at their sole discretion, revoke the certificates that let us issue cards. Were that to happen, the cards concerned would stop updating. We would tell you immediately, and your customer data would remain intact and exportable.

Your obligations

What we do not guarantee

Keeply depends on services we do not control — Apple Wallet, Google Wallet, notifications, your connection. An outage at their end can interrupt the service. Visits recorded without a network are kept on the device and sent when the connection returns.

Termination

You can stop at any time. We may suspend an account that breaches these terms, after telling you unless it is urgent.

What happens when the subscription stops

Your workspace stays available, read-only. You keep seeing your customers, your history and your figures. What stops is operating: no more scanning at the till, no visit recorded, no reward granted, no campaign sent, and no change to your programme or your card.

Your customers' cards stay in their wallets. That is their phone; we do not touch it. But the cards no longer update and no longer entitle them to anything: no Keeply reward works on them until the subscription resumes.

Your data is kept for three months (90 days). During that time you can resubscribe and find everything as you left it — customers, visits, programme, card. The three months start again from zero on each resubscription.

After those three months, the customer list and the campaign history are permanently deleted. Neither you nor Keeply can recover them: no copy remains. It is a real deletion, not a set-aside, and it is what we owe your customers.

Governing law and language

Moroccan law. We seek an amicable solution before any proceedings.

These terms exist in French and in English. Where the two versions differ, the French version prevails.
